Page 3 – Every charity that uses this model will need to insert its own Name and Objects in the relevant sections. We have done the same. Our Name and Objects are: Name: Leighton Hospital Prostate Cancer Support Group
Page 8 - In the model document, section 8 Membership paragraph (4) states
The trustees must keep a register of names and addresses of the members which must be made available to any member upon request.
The Committee thought that this paragraph suggests that any member may request and must be provided with a full list of members’ names and addresses. If taken at face value, the Committee feel that providing someone with such a list would be in contravention of the GDPR (General Data Protection Regulation) and therefore it is proposed to delete the words “which must be made available to any member upon request”. The Committee, will, however, be glad to provide any member with a list of that member’s own personal data held by us.
Page 9 – Every charity that uses this model must insert the number of members that are needed to be present at a General Meeting to constitute a quorum. It was decided that 12 would be an appropriate number.
Page 11 - section 17 Officers and Trustees paragraph (1) in the model document states
The charity and its property shall be managed and administered by a committee comprising the officers and other members elected in accordance with this constitution. The officers and other members of the committee shall be the trustees of the Charity and in this constitution are together called ‘the trustees’. There was no objection to making it mandatory for all three Officers (Chairman, Treasurer and Secretary) to be Trustees, but the Committee did not favour the implications that
All committee members must be trustees and...
All trustees had to be committee members
So, the following revised wording was agreed
The charity and its property shall be managed and administered by a committee comprising the officers and other members elected in accordance with this constitution. The officers shall be trustees of the charity. Additional trustees may be appointed from the membership and in this constitution are, together with the officers, called “the trustees”.
Page 21 – Signatures
All charities using this model will need to complete this section. The Trustees as elected at the AGM will all need to sign this page.
